      INTO A MATERIAL DEFINITIVE AGREEMENT

                 On
      April 4, 2009, the piping systems division of Bristol Metals, LLC, a
      wholly-owned subsidiary of Synalloy Corporation, and the United
      Association of Journeymen and Apprentices of the Plumbing and Pipe Fitting
      Industry of the United States and Canada Local Union No. 538 voted to
      accept a five-year agreement effective February 15, 2009. The terms of the
      agreement are consistent with previous contracts and include, among
      others, an approximate three percent annual wage
  increase.
